Under the agreement, ITG will receive CAD$6,000 per month, paid in advance, for an initial one-month term beginning April 21, 2026, with automatic monthly renewals unless terminated with 30 days’ notice; no shares or options will be issued as compensation, and the parties are unaffiliated.
